1. Acceptance

This website is operated by Uasongiro LLC, 290 Broadway, New York, NY 10007, USA. By using it you agree to these terms. If you do not agree, please stop using the site.

2. Use of this website

You may view, print and download pages from this site for your own business evaluation. You may not:

• copy or republish our content commercially without written permission;
• attempt to gain unauthorized access to the site or any related system;
• use automated tools in a way that degrades performance for other visitors;
• use the site for unlawful purposes or to transmit malicious code.

3. Information on this website

The content of this website is general information about our services. It is not professional, legal, accounting, tax or medical advice, and it does not create a consulting relationship. Prices shown are indicative for planning purposes and are not an offer; the price for your engagement is the one stated in a signed written proposal.

4. Engagements and quotations

Consulting work is performed only under a written proposal signed by both parties. That proposal, together with any attached statement of work, prevails over anything on this website. Unless the proposal states otherwise: fees are quoted in US dollars, exclude applicable taxes, and are invoiced Net 15 by ACH or check; project phases are billed 50% at commencement and 50% on delivery.

5. Client responsibilities

To deliver on time we need reasonable access to relevant staff, systems and accurate information. Delays or inaccuracies in what is supplied to us may affect timelines and, where material, cost. We will always tell you in writing before any change to an agreed price.

6. Intellectual property

On full payment, all deliverables prepared specifically for you — including documentation, reports and source code — become your property. We retain ownership of our pre-existing methods, templates and know-how, and may reuse them. The Uasongiro name, logo and website content remain our property.

7. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the engagement. This obligation survives the engagement by three years. We will sign your mutual non-disclosure agreement on request.

8. Warranties and limitation of liability

We perform our services with the reasonable skill and care expected of a professional consultancy, and we warrant delivered software against defects in agreed functionality for thirty days after delivery.

Except as stated above, this website and its content are provided “as is” without further warranty. To the maximum extent permitted by law, our total liability arising out of any engagement is limited to the fees paid by you for the phase that gave rise to the claim, and neither party is liable for indirect, incidental or consequential losses, including lost profits. Nothing in these terms limits liability for fraud, willful misconduct or anything that cannot be limited under applicable law.

9. Cancellation

Either party may decline to proceed to a further phase at any time with no penalty. Where work in an active phase is cancelled, you are invoiced for work performed to that date and receive the materials produced.

10. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. The state and federal courts located in New York County, New York, have exclusive jurisdiction over any dispute, and both parties agree to attempt good-faith resolution by discussion before filing.

11. Changes

We may update these terms. The version published on this page at the time you use the site applies. Signed proposals are not changed by an update to this page.
